Shenzhen JicTech LCD Co., Ltd (“JicTech”, “we”, “us”, or “our”) provides industrial display solutions through our website https://jiclcd.com (the “Site”). These Terms and Conditions (“Terms”) govern your access to the Site and all orders for our products.
By accessing the Site or submitting an order, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you are acting on behalf of a company, you confirm you have the authority to bind that entity.
1. Scope & Order Formation
These Terms apply exclusively to all offers, inquiries, and sales contracts concerning our products (displays, modules, customized solutions). Any conflicting terms from the Customer are void.
A binding contract is formed only when we issue a written Sales Confirmation. Specifications in our catalogs or website are for information only and are not binding.
2. Products, Quotations & Customization
- Quotations: Quotations are valid for 30 days from the date of issue.
- Customized Products: Technical specifications for custom orders (e.g., special brightness, contrast, interface, size) must be finalized and approved in writing by both parties before production begins. Any subsequent changes requested by the Customer may result in additional charges and delivery delays.
3. Prices, Payment & Delivery Terms
- Prices: Prices are in US Dollars (USD). Unless otherwise stated, they are Ex-Works (EXW) Shenzhen, China (Incoterms® 2020). All taxes, duties, shipping, and insurance costs are the Customer’s responsibility.
- Payment: Standard payment terms are a 50% deposit upon order confirmation, with the 50% balance due before shipment. Payment is by Telegraphic Transfer (T/T) to our designated bank account.
- Delivery & Risk: Lead times are estimates. Title and risk of loss pass to the Customer upon delivery of the goods to the carrier at our premises.
4. Inspection, Warranty & Returns
Important: Customized products are generally non-returnable.
- Inspection: The Customer must inspect the products for quantity and obvious damage within 7 business days of receipt and report any issues immediately.
- Limited Warranty: We warrant our products against material defects in workmanship and materials for a period of 12 months from the date of shipment, provided they are used under normal conditions in the specified industrial application.
- Returns (RMA): Returns of non-custom, standard products require a prior Return Material Authorization (RMA) and may be subject to a restocking fee.
5. Intellectual Property
All intellectual property rights (including designs, software, and documentation) related to our products and the Site remain the sole property of JicTech. The Customer may not reverse-engineer, copy, or reproduce any part without our prior written consent.
6. Limitation of Liability
- JicTech's total liability for any claim shall not exceed the purchase price of the specific product giving rise to the claim.
- In no event shall we be liable for any indirect, consequential, or incidental damages (including lost profits, production stoppage, or data loss).
- The Customer agrees to indemnify and hold JicTech harmless against any claims arising from the integration or use of our products in the Customer’s applications (e.g., medical, automotive, or industrial control systems).
7. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the People’s Republic of China.
Any dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC), Shenzhen Commission, for arbitration. The arbitral award shall be final and binding on both parties.
8. General Provisions
- Force Majeure: We are not liable for delays or failures in performance due to circumstances beyond our reasonable control.
- Severability: If any provision of these Terms is found invalid, the remaining provisions will remain in full force.
- Revisions: We reserve the right to revise these Terms. The version effective at the time of your order’s Sales Confirmation will govern that contract.
